Does reporting stop when fundraising ends?

A Tier 2 Regulation A offering creates continuing reporting obligations after qualification. Closing the campaign does not end them. Tier 1 has a different requirement: an exit report on Form 1-Z within 30 calendar days after the offering’s termination or completion. Rule 257.

For an issuer evaluating Tier 2, the reporting plan belongs in the original fundraising budget. Your company needs people, accounting records, and a review process that continue after the marketing campaign stops. Investor emails and website updates do not replace required SEC reports. Include that cost when comparing Tier 1 and Tier 2.

Which reports does a Tier 2 issuer file?

The principal forms serve different purposes:

Form Main purpose General deadline
Form 1-K Annual business and financial disclosure, including audited financial statements Within 120 calendar days after fiscal year end
Form 1-SA Interim financial statements and management discussion for the first six months of the fiscal year Within 90 calendar days after that six-month period ends
Form 1-U Disclosure of specified significant events Within four business days after the reportable event, subject to the form’s provisions

The instructions to Form 1-K, Form 1-SA, and Form 1-U define the requirements. Annual and semiannual deadlines follow the fiscal year, so a company with a June year end has a different calendar from a company with a December year end. Current reports follow the reportable event rather than the fiscal-year calendar.

An issuer already reporting under the Exchange Act may satisfy its Regulation A obligations through those reports when the rule’s conditions are met. Do not assume both reporting series are always required. Rule 257(b)(6).

What makes the annual report a continuing business task?

Form 1-K goes beyond a fundraising total. It includes financial statements and disclosure about the business, management, ownership, related-party transactions, and financial results. Form 1-K requirements.

That means finance needs timely books, management needs to explain results, and counsel needs access to important company developments. A year of unresolved accounting questions cannot reliably be compressed into the final week before a filing deadline.

Agree on an internal timetable with the accountant and counsel. Work backward from the deadline to the audit, management review, and approval process. Assign a backup owner for the calendar so a personnel change does not leave the obligation unattended.

Which events need attention between scheduled reports?

Form 1-U covers specified events, including certain fundamental changes, bankruptcy, changes in control, material modifications to securityholder rights, and specified executive departures. The form’s definitions and thresholds control. It is not a requirement to file every ordinary business update. Form 1-U.

Create a way for management, finance, and the board to flag potential events to counsel promptly. Waiting for the next scheduled report can miss a shorter deadline.

Hypothetical example: a fictional home services company completes its Tier 2 raise in August. Its principal financial officer leaves in November. The company does not wait for the annual report to discuss the departure with counsel. It evaluates Form 1-U when the event occurs, despite having stopped fundraising months earlier.

Can an early report be due soon after qualification?

Yes. Depending on the financial statements in Form 1-A, Rule 257 can require a special financial report after qualification. A required special year-end financial report is due within 120 calendar days of qualification, and a required first-half report within 90 calendar days. These provisions can bring reporting work forward. Rule 257(b)(2).

Have your advisers map the first reporting periods before launch. The first annual deadline is not always the first reporting work your team faces.

When can Tier 2 reporting be suspended?

Suspension requires meeting the rule’s conditions and filing Form 1-Z. For an ordinary nonbank issuer, those conditions include fewer than 300 holders of record for the class, required reporting being current, and no ongoing Tier 2 offers or sales of that class. Suspension is unavailable during a fiscal year in which a Tier 2 offering statement was qualified or before filing the annual report for that qualification year. Rule 257(d).

Have counsel confirm eligibility rather than stop filing because the raise is closed or the shareholder count appears low. Holders of record is a legal measure that may differ from the number of accounts in a software dashboard.

How Issuance fits

Issuance provides an issuer dashboard with investment information, signature status, analytics, and data exports. Those records can support offering administration and reconciliation among your team and providers.

Platform reports are operational records. Your company and its designated professionals remain responsible for required Forms 1-K, 1-SA, 1-U, and 1-Z. Keep accounting, audit, legal disclosure, and filing responsibilities assigned alongside the technology workflow, and budget for that work after the last investment arrives.
