What Issuance is
Issuance, Inc. (“Issuance”) is a technology platform used by companies raising capital under Regulation A, or under Rule 506(b) or 506(c) of Regulation D under the Securities Act of 1933. It owns and operates this site, issuance.com.
What Issuance is not
Issuance is neither a registered broker-dealer, investment advisor, nor funding portal. Issuance and its affiliates do not provide any investment advice or recommendations and do not provide any legal or tax advice concerning any securities.
Reg CF, through Issuance Express
Issuance’s subsidiary company, Jumpstart Micro, Inc. d.b.a. Issuance Express (“Issuance Express”), a funding portal registered with the US Securities and Exchange Commission (opens in a new tab) (“SEC”) and a member of the Financial Industry Regulatory Authority (opens in a new tab) (“FINRA”), operates as intermediary for offerings made under Regulation Crowdfunding (“Regulation CF”). All offerings on this site or its sub-sites made pursuant to Regulation CF are made through Issuance Express.

Through our technology and dedicated services, Issuance works to make equity investment more accessible, efficient, and transparent for everyone involved. Our track record – over $300 million in transaction volume across funding rounds we’ve supported – tends to speak for itself. But since you’re reading this, you likely won’t mind if we elaborate.
Issuance Platform
Our core product is a capital markets engine designed to comprehensively streamline the investing and fundraising process for both issuers and investors. The Issuance Platform gives issuers a branded deal page, an investor checkout, and an issuer dashboard. We license our platform to companies raising capital under one of the major JOBS Act securities exemptions, like Regulation D 506(b), Regulation D 506(c), or Regulation A, as a SaaS solution. You might have noticed this list leaves out one of the most popular securities exemptions: Regulation Crowdfunding (Reg CF).
Issuance Express
To deploy our capabilities for Reg CF, we operate Issuance Express (opens in a new tab), a funding portal subsidiary registered with the Securities and Exchange Commission (SEC) and a member of the Financial Industry Regulatory Authority (FINRA). Issuance Express specializes in helping early and growth-stage companies swiftly launch deals that raise up to $5 million from a broad investor base. As the funding portal intermediary for companies raising under Reg CF, Issuance Express serves founders both as a tech provider and as a hands-on team for the entire CF deal cycle. Issuance Express embodies our commitment to expanding access to capital for small and medium-sized businesses while providing investors with diverse opportunities.
Issuance Enterprise
While both of the above products address the needs of individual companies, we also selectively support deal marketplaces who desire a highly capable backend technology partner to power their transactivity. Issuance Enterprise enables external partners to build, launch, and operate a branded marketplace of their own supported by Issuance through a white-label integration. Enterprise engagements include white-glove guidance through the development process, exclusive API access and supporting documentation, and ongoing support once the integration is live.
