Issuance fundraising platform

Raise under Reg A+ or Reg D. Run the deal on your own terms.

Issuance is a technology platform used by companies raising capital under Regulation A, or under Rule 506(b) or 506(c) of Regulation D. Your offering gets a branded deal page, a mobile investor checkout, and an issuer dashboard to run the deal through payout. Your company leads its audience and outreach, and works with the securities lawyers, broker-dealer, and transfer agent of its choice.

An Issuance team member will reach out to set up a platform demo at a time that works for you.

  4. 04

    Investors check out

Investors create an account, enter their investment details, pay, and sign, on any device. The checkout takes under 60 seconds, from account creation to a signed commitment, when an investor has their details ready.

How we helpPayment by card, Apple Pay, Google Pay, ACH, wire, and stablecoins where eligible. Integrated KYC/AML verifies investor identities, and Click-to-Attest lets Rule 506(c) investors send accreditation attestation requests through the platform. See the checkout.

    Track proceeds and trigger payouts

Follow every investment, screening result, and signature from the issuer dashboard. Track your deal proceeds and trigger payouts in real time, on any device.

A best-of-breed approach

How Issuance compares.

Some providers bundle the platform, broker-dealer, transfer agent, and marketing into one package. Issuance licenses the platform and leaves the rest to you, so a partner that isn’t working can be replaced on its own.

Platform FAQ

How the platform works in practice.

Pricing, launch timing, partners, payments, and payouts. Questions about the exemptions themselves are in the Offering Types FAQ.

  • Support · support@issuance.comAlready raising? Our support team is available to assist with any issues.
How is Issuance priced?
Issuance is priced as a monthly license plus processing fees. Our transparent pricing model ensures that companies can accurately estimate their cost of capital without encountering hidden fees. To discuss pricing for your raise, request a demo or email sales@issuance.com.
How quickly can we launch?
Every offering is different, and the exemption sets much of the timeline. A Reg A offering cannot raise capital until its Form 1-A is qualified by the SEC. For a Reg D 506(c) offering, only a Form D is required to be filed, which can generally be completed in a matter of hours after the first capital is raised. Compare typical timelines by exemption, or request a demo to talk through the timeline for your raise.
Can we keep our own broker-dealer and transfer agent?
Yes. Issuance takes a best-of-breed approach, with plug-ins for the broker-dealer, agency, or transfer agent of your choice. Brokers get a standalone dashboard with trade review functionality, and your marketing and support teams get designated permission levels. If you still need a partner, see the firms we work with.
How do investors pay?
The checkout accepts card, Apple Pay, Google Pay, ACH, wire, and stablecoins where eligible. It takes under 60 seconds, from account creation to a signed commitment, when an investor has their details ready, on desktop or mobile.
How do payouts work?
Track your deal proceeds and trigger payouts in real time from the issuer dashboard, on any device, with optional escrow available.
How are investors screened and accredited?
Integrated KYC/AML verifies investor identities, and the issuer dashboard shows screening results and signature status across every investment. Under Rule 506(c), investor accreditation must be verified: with Click-to-Attest, an investor can send an attestation request to their CPA or lawyer through the platform, and the letter writer signs it much as they would complete a DocuSign.
Will Issuance bring investors to our raise?
No. Your company is responsible for building and activating its audience and leading the marketing effort. The platform provides the deal page, investor checkout, and issuer dashboard behind the offering, but Issuance does not promise investor demand or fundraising results. Conversion tracking and marketing reports help your team and any agency see what is working.
